The “Promotion to Win a Promotion” Promotion Contest (the "Contest") starts on October 1, 2011 at 12:01AM Central Time ("CT") and
ends on October 31, 2011 at11:59PM CT ("Contest Entry Period").
SPONSOR: The contest is sponsored by Clique Studios, LLC (“Sponsor”), 150 N. Michigan Avenue, Suite 800, Chicago, IL 60601.
ELIGIBILITY: There is no fee for entry. Contest is open to legal residents of the fifty (50) United States and District of Columbia, who are 21 years of age or older (as of the date of entry), and who are the owner (or authorized representative) a small business that meet the following criteria (“Eligible Business”):
1. Business must have a primary address located in one of the following Illinois counties: Cook, DuPage, Kane, Lake, McHenry or Will;
2. Business must have no more than 150 full-time employees as of October 1, 2011;
3. Business must be privately held;
4. Business must have generated no more than $100 million is gross annual revenue for the year 2010;
The “Owner” of a business is an individual who either: (1) owns a majority voting interest in that business or (2) owns a significant interest in that business (what constitutes “significant” is subject to Sponsor’s determination in its sole discretion) and has the approval of shareholders representing, together with such persons share, a majority voting interest in that business (proof of such approval to be provided to Sponsor upon request and subject to Sponsor’s satisfaction as to form and substance). Any individual submitting an entry on behalf of a business entity (other than the Owner) represents and warrants that he/she is authorized to submit an entry on behalf of such business entity. The Grand Prize will be awarded in the name of the Eligible Business that is deemed the Official Winner, not the individual who submitted the Entry. Entrants may not be members of any guild, union or other organization that may prohibit them from participating in this Contest and that would restrict, require due payment or otherwise have the right to oppose such entrant’s participation in this Contest. Please note: Owners of businesses that sell or promote any of the following are not eligible to enter or win: pharmaceuticals, drugs, drug paraphernalia, pornography or sexual aids, diet aids, gambling, liquor, tobacco or firearms/weapons. In addition, any business that has been featured in any Chicagoland Chamber of Commerce (“CCC”) or Illinois Small Business Development Center (“SBDC”) advertising in the twelve (12) months prior to the start of the contest OR has received business directly from the CCC or SBDC is also not eligible to enter or win. Employees of Sponsor, CCC, SBDC and their respective parents, subsidiaries, affiliates, agencies, prize sponsors (collectively “Contest Entities”) and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are also not eligible to enter or win. Entrant agrees and acknowledges that he/she will not physically or personally engage or interact with another entrant or any other individuals in conjunction with participation in the Contest. Entrants are prohibited from sabotaging other entrants in any way, interacting with them personally or physically, or attempting to circumvent these Official Rules in any way. If Sponsor determines that an entrant has taken any of these or any other potentially inappropriate actions, Sponsor reserves the right, in its sole discretion, to disqualify that entrant. Sponsor, in its sole discretion, will disqualify any entrant that it determines violates these Official Rules. Void where prohibited by law. Contest is subject to all applicable federal, state and local laws. The promotion is not open to the general public. This Contest is a skill-based contest, and as such, the winner will not be selected randomly, but on the basis of objective judging criteria (as set forth herein). PARTICIPATION EXPENSES WILL NOT BE REFUNDED.
HOW TO ENTER: During the Contest Entry Period, visit http://www.cliquepromo.com/ and follow the directions provided to accurately complete the entry form ("Entry"). Sponsor's computer is the official time-keeping device for the Contest. You will also have the opportunity to submit a photo if you choose. Please note, however, submitting a photo is optional and will not impact the judging process. The photographs should be of you and of you working in your place of business. If a photo is submitted it must be submitted in .PNG, .JPG, or .GIF format and cannot exceed 4 MB. Any photo submitted must comply with the restrictions set forth in these Official Rules, as determined by Sponsor in its sole discretion, or your Entry may be disqualified. Any photo submitted cannot be removed or replaced. All Entries must be received by 11:59PM CT on October 31, 2011 to be considered. Entries generated by script, macro or other automated means or by any means, which subvert the Entry process, are void. Limit one (1) Entry per Eligible Business. Entries received from any Eligible Business in excess of the stated limitation will be void. Entrants are responsible for all costs associated with preparing and submitting their Entries. Sponsor’s servers and clock will be deemed the official clock for the Contest and the entrant’s proof of submission does not constitute proof of our receipt. Released Parties (as defined herein) are not responsible for lost, misdirected, late, illegible, incomplete, inaccurate, delayed, garbled or unintelligible Entries. All Entries become the sole property of the Sponsor and will not be returned.
ADDITIONAL ENTRY RESTRICTIONS: Entry may not contain, as determined by the Sponsor, in its sole discretion, any content that:
• promotes pharmaceuticals, politics, pornography, sexual aids, diet aids, gambling or that address any sensitive topic with respect to current events;
• is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity;
• promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message;
• is obscene or offensive; endorses any form of hate or hate group;
• appears to duplicate any other submitted Entries;
• defames, misrepresents or contains disparaging remarks about other people or companies;
• contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission; contains any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
• contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission;
• contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission;
• contains look-alikes of celebrities or other public or private figures, living or dead;
• communicates messages or images inconsistent with the positive images and/or good will to which we wish to associate; and/or violates any law.
Entry must be the original work of the entrant, may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the Entry contains any material or elements that are not owned by the entrant, and/or which are subject to the rights of third parties, the entrant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the Entry. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any entrant at any time. Failure to provide such proof may, if requested, render Entry null and void. By submitting an Entry, entrant warrants and represents that he/she and any persons appearing or who are identifiable in the Entry consent to the submission and use of the Entry in the Contest and to its use as otherwise set forth herein. Sponsor reserves the right to disqualify any Entry it determines, in its sole discretion, does not comply with these Official Rules.
WINNER DETERMINATION: The Contest will consist of two (2) phases to determine the Official Winner: (i) Judging Phase and (ii) Eligibility Screening Phase. The Grand Prize Winner Finalist (subject to Official Status) (“Finalist”) selected through the Judging Phase must be available between November 5, 2011 and November 20, 2011 to be interviewed by phone by Sponsor at finalist's place of business, unless otherwise determined by Sponsor. Such interview will be used as a forum to screen the Finalist and determine their compliance with these Official Rules. A finalist must agree to allow Sponsor to contact them at his/her place of business as well as discuss specific aspects of his/her business as part of the Eligibility Screening Phase. The judges will not sign a Non-Disclosure Agreement (NDA) in connection with performing their duties for the Competition. It is the applicants’ responsibility to protect their intellectual property. See Protection of Intellectual Property.
Judging Phase: A panel of qualified judges, as solely determined by the Sponsor, will determine the Grand Prize Winner finalist from among all eligible Entries received. All judges will receive and review all information submitted in connection with each Entry to the Contest. Selection of the winning Entry will be based on the ability to demonstrate in a clear and concise manner the following:
• What inspired you to start your business?
• Tell us something unique about your business.
• Describe your commitment to your business and its growth.
• Describe your passion for small business.
• How will winning this Contest assist your business in reaching your organizational & financial goals.
• Outline a unique, unusual or special promotion idea for your business.
• What makes your business “Chicago’s Finest”?
Character limits for each answer will communicated and be automatically put in place during the Entry process.
The Finalist will be determined based on evaluation of all eligible entrants submissions per the following criteria (“Criteria”):
• Overall Impact (inspiring, persuasive): 20%
• Creativity: 20%
• Memorable Content and Delivery: 20%
• Clear Message: 20%
• Alignment with Mission of CCC/SBDC: 20%
In the event of a tie, the judges will determine the Finalist by re-judging the tied Entries based on the Judging Criteria. Sponsor and judges' decisions are final and binding on all matters relating to this Contest, including the interpretation of these Official Rules.
Conflict of Interest Policy: Judges agree not to initiate a professional relationship with individuals who have an Entry submitted for the Contest.
Eligibility Screening Phase: From November 5, 2011 and November 20, 2011 the potential Finalist will be contacted by a Sponsor representative via phone to verify eligibility and Contest submission accuracy. If the Finalist is not available to be interviewed during the respective dates they will be disqualified and, at Sponsor's discretion, an alternate winner may be contacted. Failure to respond to Sponsor's initial notification within seventy-two (72) hours of such notification or Finalist’s noncompliance with these Official Rules will also result in disqualification and, at Sponsor's discretion, an alternate winner will be contacted. Completion of the Eligibility Screening Phase does not complete the verification process for the Finalist to receive the Grand Prize. The Finalist must adequately complete all eligibility requirements as outlined in these Official Rules in order to be consider the Official Winner of the Contest. Please note: Sponsor reserves the right to conduct a background check of any and all records of Official Winner, including, without limitation, civil and criminal court records and police reports, and entry in the Contest constitutes entrant's permission for Sponsor to conduct such background check, provided that, to the extent additional authorization is necessary under law, Official Winner shall authorize such check. Sponsor reserves the right, at its sole discretion, to disqualify any Official Winner that fails to authorize such check or if, based on the results of the background check, Sponsor determines in its sole discretion that awarding a prize to such Official Winner might reflect negatively on Sponsor.
GRAND PRIZE WINNER NOTIFICATION AND REQUIREMENTS: After the Eligibility Screening Phase is complete the Finalist will be notified (approximately on or before November 25, 2011) by telephone, mail and/or email (at their Eligible Business phone/address) and required to complete an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law) and any other documents required by Sponsor, which must be returned within ten (10) business days of date appearing on notification. The Finalist will also be required to complete and return a W-9 Form, including the Eligible Business’ Tax Identification Number (TIN) [consisting of Employer Identification Number (EIN], which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law. Return of any notification as undeliverable, failure to respond to Sponsor's initial notification within the time period specified in such notification, failure to sign and return all requested documents within the specified time period(s), the inability of Sponsor to contact the potential Finalist within a reasonable time period or noncompliance with these Official Rules by the potential Finalist will result in disqualification and, at Sponsor's sole discretion, a runner-up may be notified. If the Finalist meets all requirements as determined by these Official Rules he/she will be deemed the “Official Winner.” Sponsor reserves the right to leave the Grand Prize unawarded if the Finalist does not meet the eligibility requirements of the Contest.
PRIZE: GRAND PRIZE (1): One (1) Grand Prize will be awarded to one (1) Official Winner only. Grand Prize will consist of one (1) promotion up to $100,000 combined value consisting of Promotion Services (“Services”) and Awards (“Awards”), to be designed, developed and executed by Clique Studios for the Official Winner’s business in the calendar year 2012 (“Promotion”). Promotion will consist of services required to executed a marketing campaign targeted to the consumer base of the business (B2B or B2C). The Promotion to be executed for the business will consist of a targeted marketing approach that may consist of one (1) or more of the following tactics: sweepstakes, contest, adver-game, mobile, or social media campaign, depending on the Official Winner’s business, objectives and consumer demographic. Clique Studios shall work with the winner to determine the best Promotion to be executed. The Services to be utilized by Clique Studios to execute such Promotion may include (depending on the Promotion to be executed): consultation, creative, strategy, legal, web microsite, mobile splash page, Facebook fan page, Promotion administration and reporting. Awards to be offered in the Promotion shall be secured by Sponsor and shall be determined only after a Contest Official Winner is determined and the Promotion structure is defined. Services (including the value of the Service provided) and Awards to be offered as part the Official Winner’s Promotion is at the sole discretion of Sponsor. Approximate Retail Value (“ARV”) of the Grand Prize is up to $100,000USD.
Additional Prize Restrictions:
◦ Promotion must be launched by December 31, 2012.
◦ Promotion can last no more than four (4) consecutive weeks.
◦ Promotion shall be executed as one (1) marketing campaign only (but Promotion may consist of several promotional elements that Sponsor provides. (i.e. sweepstakes, social media, mobile, etc).
◦ Total Grand Prize value to be awarded shall be “up to” $100,000, dependent on the final parameters of the Promotion executed for the Official Winner. Winner will not receive difference between approximate and actual value.
◦ Sponsor shall work with Official Winner to determine the Promotion, including campaign elements, Services, and Awards, to be executed.
◦ Services and Awards (including the monetary value of each element) to be provided by Sponsor as part of the Promotion shall be confirmed in writing to Official Winner upon confirmation of details. Sponsor makes no guarantee as to the value of the Awards pool to be available as part of the Grand Prize Promotion.
◦ All advertising and media exposure, including all at sole discretion of winner
Prize is awarded "as is" with no warranty or guarantee, either express or implied. Any photos listed on this site or any marketing materials related to the Contest are for illustrative purposes only. All prize details are at Sponsor's sole discretion. Official Winner may not substitute, assign or transfer a prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. The Grand Prize will be awarded in the name of the Eligible Business that is deemed the Official Winner, not the individual who submitted the Entry. Note that prize ARV is treated as income by IRS, regardless of whether the payment is awarded to an individual or a company as defined by your tax returns. Winners are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. Please consult a licensed accountant and/or tax advisor if you have any questions. Since the total final value of the Grand Prize will not be determined until such time as the Promotion details, including Services & Awards are finalized, the Official Winner will only be taxed the final Grand Prize value for the purposes of tax reporting, up to $100,000 ARV.
VIDEO CREATION: At the sole discretion of the Sponsor, a Sponsor representative may contact the Official Winner to request a date and time for Official Winner to be interviewed on video by Sponsor in order for Sponsor to create a promotional video for use by Sponsor (“Promotion Video”). Please note, however, agreeing to participate in the Promotion Video shoot is optional and will not impact the winning status of the Official Winner. Official Winner will be asked about their small business and to express their passion and enthusiasm for their small business (along with other interview questions that the Official Winner may or may not choose to answer). Sponsor will edit the interview footage to create the Promotion Video. Finalists understand and acknowledge that they will not have approval over edits to the interview footage or the final Promotion Video ultimately used as Sponsor’s discretion and that Sponsor will have no obligation or liability to the Winner who does not like the Promotion Video made as a result of this Contest. The Promotion Video shall be owned by Sponsor. Each Finalist understands that Sponsor and its designees may exploit, edit, modify, create derivatives works of, perform, post, distribute and otherwise use the Promotion Video and all elements of such Promotion Video, including, without limitation, the names and likenesses of any persons or locations embodied therein, in any and all media now known or hereafter devised (including, but not limited to, Sponsor's pages on Facebook and Sponsor websites), in any manner, throughout the universe, in perpetuity without compensation or notification to, or permission from, entrant or any third party. Released Parties (as defined herein) are not responsible for unauthorized use of Promotion Video by third parties.
USE OF ENTRIES: By participating, each entrant grants Sponsor an irrevocable, assignable, perpetual, worldwide, royalty free, fully paid-up license to exploit, edit, modify, create derivative works of, post, perform, distribute and otherwise use his/her Entry (including any photos included as attachments to the Entry and the Promotion Video) and all elements of such Entry, including, without limitation, the names and likenesses of any persons or locations embodied therein, in any and all media, now known or hereafter devised (including, but not limited to, Sponsor's and/or Contest Entities’ pages on Facebook and/or websites), in any manner, without compensation or notification to, or permission from, entrant or any third party.
PRESS: Unless prohibited by law, the Official Winner is required to participate in media and press opportunities related to the Contest as reasonably requested by the Sponsor. This includes, but is not limited to, the following opportunities:
• Official Winner may be asked to provide a 150-200 word description that will be made available to media and may be released publically, either in part or in its entirety;
• Official Winner may be asked to speak to the media for Contest related interviews when requested by the Sponsor;
• Official Winner may be asked to provide quotes and/or content for any Contest related press releases.
Participating in media and press opportunities in no way, shape or form requires the Official Winner to disclose any proprietary or otherwise confidential information related to their business.
GENERAL CONDITIONS: By participating, each Entrant agrees: (a) to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Contest; (b) to release, discharge, indemnify and hold harmless Sponsor, CCC, SBDC, and their respective parents, affiliates, subsidiaries, and advertising agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively "Released Parties") from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant's participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize (including any travel/activity related thereto) or Released Parties' use of any of the rights granted herein; and (c) to the use by Sponsor and its designees of his/her name, voice, performance, photograph/video, image and/or likeness for advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide, and in perpetuity, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so. By participating, entrant also agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the Contest without the prior consent of the Sponsor, which it may withhold in its sole discretion.
MISCELLANEOUS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or garbled Entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prize, the incorrect uploading of the Entry information or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Contest or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Should any portion of the Contest be, in Sponsor's sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect Entries received prior to action taken using the judging procedure outlined above. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
DISPUTE RESOLUTION: Except where prohibited, by participating in the Contest entrants agree that: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant(s) and Sponsor and its agents shall be governed by and construed exclusively in accordance with the laws of the State of Illinois without giving effect to any principles of conflicts of law of any jurisdiction. Entrant agrees that any action at law or in equity arising out of or relating to this Contest, or awarding of the prizes, shall be filed only in the state or federal courts located in the State of Illinois and entrant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action. Except where prohibited, by participating in this Contest, entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Contest, or awarding of the prizes, shall be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Sweepstakes but in no event attorneys' fees; and (c) under no circumstances will any participant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Some jurisdictions do not allow the limitations or exclusion of liability for incidental or consequential damages, so the above may not apply to you.

How do I know if my business is eligible to enter? Check out the Official Rules for complete details, but the highlights of eligibility are listed below (Mr. Warren Buffet - you are NOT allowed to enter the contest!).
1. Be 21 years old or older;
2. Be a legal resident of the U.S. or DC
3. Business must have a primary address located in one of the following Illinois counties: Cook, DuPage, Kane, Lake, McHenry or Will;
4. Business must have no more than 150 full-time employees as of October 1, 2011;
5. Business must be privately held;
6. Business must have generated no more than $100 million is gross annual revenue for the year 2010;

What can I win?
The winner will win a “Promotion” for their Business to be executed in 2012, including all Promotion & Marketing Services and Prizing provided by Clique Studios. Total Value is up to $100,000 - consisting of consultation, creative, strategy, legal, web microsite, mobile splash page, Facebook fan page, promotion administration and reporting
The Promotion to be executed for the business will consist of a targeted marketing approach that may consist of one (1) or more of the following tactics: sweepstakes, contest, adver-game, mobile, or social media campaign, depending on the Official Winner’s business, objectives and consumer demographic.

How will I know if I’m the winner?
We will Judge all entries by November 4, 2011 and contact the potential winner to verify and confirm all eligibility requirements.
The Official Winner will be announced on www.cliquepromo.com no later than November 30, 2011 and we’ll send out email notifications to those who opt-in to receive them.
